Business LAW
Mergers & AcquisitionsBusiness mergers & acquisitions done right
Fidelis Law also helps both privately held and publicly traded businesses in navigating through formation, dissolution, asset sales, mergers, and acquisitions. We represent businesses of all types and sizes and handle transactions of all scales. We are equipped to assist businesses owners with the formation of their business entity, including drafting charters, operating agreements, bylaws, membership agreements, shareholder agreements, and any and all other necessary documents. We realize that each business has specific needs that need to be addressed, and we work with our clients to ensure those objectives are met. We also assist businesses with the dissolution process, both on the Secretary of State and Attorney General levels.
In addition to formation and dissolution, we also assists businesses with mergers and acquisitions. Our goal is to produce successful and fair outcomes for our clients in the most time and cost-efficient manner possible. Not only do we represent for profit entities with these items, but we also represent nonprofit entities. In Tennessee, nonprofits selling a substantial portion of their assets and/or merging with another business entity must get both Secretary of State and Attorney General approval. This often requires submitting an extensive packet of information to the Attorney General and responding to over thirty (30) inquiries and requests for documents. At Fidelis, we assist business owners in navigating this complicated process and work to best ensure the desired outcomes are reached.
